TERMS AND CONDITIONS OF PURCHASE

It is important that you read the information below. This agreement is known as the Webxotic LLC
(“Webxotic”, “Company”, “We” or “Us”) Terms and Conditions of Purchase Agreement (the
“Purchase Agreement”).
This Agreement applies to any transaction or sale of goods in our games, mobile games,
applications, products, virtual goods, surveys, promotions, contests, community support, related
activity, and information offered by the Company (the “Services”), whether such sale occurs on our
Website, located at www.webxotic.com (the “Website”), our Gaming Website located at
businessempires.net (the “Gaming Website”), or application. When you purchase goods from Us,
you are entering into a binding legal agreement with Webxotic. If you do not agree to these terms
and conditions, please do not make a purchase of our goods or Services.
These Webxotic Terms and Conditions of Purchase may be modified at any time by Us in our sole
discretion. Changes to this Purchase Agreement will be posted to our Website. Your purchase of
goods or Services from Us constitutes and signifies your acceptance of this Purchase Agreement as
in place at the time of purchase, including any changes.
1. Virtual Goods User License
The following terms and conditions apply to the purchase of any goods:
Virtual Goods shall mean any computer-generated, intangible intellectual property asset for which a
user license is offered for purchase in a Webxotic game. When Virtual Goods are made available to
you through our games, you are purchasing a limited user license to use the Virtual Goods in the
applicable game only. The Virtual Goods are not sold to you. At all times, the Virtual Goods remain
the property of the Company and the Virtual Goods are not owned by you at any time. Webxotic is
the sole owner of any Virtual Goods.
The fee charged for Virtual Goods is non-refundable. Availability of Virtual Goods may vary based
upon your region. We may change the price, value, or characteristics of the Virtual Goods at any time,
including entirely removing the Virtual Goods from a game.
For the avoidance of doubt, the Virtual Goods have no cash value and may not be used outside of a
game for any purpose. Virtual Goods, such as “B COIN” and “UZD” and “TOKENS” are fictious
names for gaming purposes only, have no real cash value, and cannot be used as currency outside of
the Game.
By purchasing Virtual Goods from Us you grant Us permission to collect personally identifiable
information about you and to contact you via email. The purchase of Virtual Goods and other related
transactions are subject to the Webxotic User Agreement and Privacy Policy.
2. Payment
By providing Webxotic with a payment method, you: (a) represent that you are authorized to use the
payment method, (b) represent that the payment information provided is true and accurate, (c)
authorize Webxotic to charge your payment method for any Virtual Goods or other goods or services
you purchase; and (d) authorize Webxotic to charge you for any paid feature of our games that you
choose to purchase, sign up for, or use. You must promptly update your account whenever there is a
change to your account information, including your email address and credit card numbers and
expiration dates, so that We can complete your transactions and contact you as needed in connection
with your transactions. Payment currency for the purchase of goods and services is the United States
Dollar.
3. Recurring Charges
Certain Virtual Goods and other services available from Webxotic may be offered as a recurring
charge, whereby users can safely and securely provide their credit card details from which regular
payments will be drawn. Payments can run indefinitely or for a fixed period, and payments may be
drawn at any time or at a fixed interval. We routinely display opt-out links in communications about
recurring charge services for user convenience to opt-out or terminate recurring charges. Recurring
charges are non-refundable and you must cancel any recurring charge 30 days in advance of the
payment date in order to avoid future charges.
4. Children Under 13
The Company does not direct its activities nor sell Virtual Goods to persons under the age of 13. If
you are under the age of 13, please do not use our website or attempt to purchase Virtual Goods. If
you are between 13 and 18 years old, you may use the Website and the Services, only upon the consent
of your parent and/or legal guardian.
5. Choice of Law and Venue
This User Agreement shall be governed by and construed in accordance with the laws of the State of
Arizona, without regard to conflicts of laws principles. You hereby agree and consent that the sole
and exclusive jurisdiction for any action or proceeding arising out of or relating to this Purchase
Agreement shall be the State or Federal Courts located in Maricopa County in the State of Arizona.
6. Miscellaneous
Any cause of action you may have with respect to your use of and access to the Services or our Website
must be commenced within one (1) year after the claim or cause of action arises. If for any reason a
court of competent jurisdiction finds any provision of this Purchase Agreement, or portion thereof,
to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to give
legal effect to the intent of the Purchase Agreement, and the remainder of this Agreement shall
continue in full force and effect.
A printed version of this Purchase Agreement and of any notice given in electronic form shall be
admissible in judicial or administrative proceedings based upon or relating to this Purchase Agreement
or the Services to the same extent and subject to the same conditions as other business documents
and records generated and maintained in printed form by Webxotic.
The failure of Webxotic to enforce any provision of this Purchase Agreement shall not be deemed a
waiver of such provision nor bar the Company’s right to enforce the provision.
